These Terms of Service (the "Terms") form a binding contract between you and TNAADO Labs, Inc. ("TNAADO," "we," "us"), a company with its registered office at [COMPANY_ADDRESS]. "Mr Syn" refers to the mobile application, website at mrsyn.app, and related services we operate, collectively the "Service".
1. Acceptance
By creating an account, downloading the app, or using any part of the Service, you agree to these Terms and to our Privacy Policy, Acceptable Use Policy, Refund Policy, Responsible Play Policy, Skill Contest Rules, and the Eligibility page, each incorporated here by reference. If you do not agree, do not use Mr Syn.
If you are using Mr Syn on behalf of an organization, you represent that you have authority to bind that organization and you accept these Terms on its behalf.
2. Eligibility
2.1 Minimum age
You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) to create an account, stake money, or receive any payout. Mr Syn is not intended for, and we do not knowingly collect information from, anyone under 13. Guardians aware of a child under 13 using Mr Syn should contact [email protected] so we can delete the account.
2.2 Geographic scope
Mr Syn is currently offered only in eligible jurisdictions in the United States and Canada. The Service is not available in jurisdictions where skill-contest pay-to-enter competitions are prohibited, restricted, or require a license we do not hold. The live list of excluded jurisdictions is maintained at mrsyn.app/eligibility and is incorporated by reference as [EXCLUDED_JURISDICTIONS]. It is your responsibility to confirm participation is lawful where you reside and where you physically are when you compete.
2.3 Identity and age verification
Before your first cash payout you must pass identity and age verification performed by us or our payment partners (Stripe, Stripe Identity, or equivalent). We may require government ID, selfie match, proof of address, and tax documentation. We may refuse, limit, or undo any payout if verification fails.
2.4 No restricted persons
You represent that you are not on any US or Canadian sanctions list, are not a resident of a comprehensively sanctioned jurisdiction, and are not otherwise prohibited from using a US- or Canada-facing financial service. Current and immediate family members of TNAADO employees, contractors, and affiliates are not eligible to enter cash skill contests.
3. Accounts
To use most of the Service you must create an account. You agree to provide accurate information and to keep it current. You are responsible for all activity under your account and for keeping your credentials secret. Notify us immediately at [email protected] if you suspect unauthorized access.
One person, one account. Do not:
- Create more than one account, whether under your own name or anyone else's.
- Share, sell, rent, or transfer an account.
- Let anyone else use your account to compete in a contest.
- Evade a suspension or ban by making a new account.
Violations will result in immediate suspension of all connected accounts and forfeiture of any pending stakes or balances.
4. The Service
Mr Syn lets you:
- Track workouts, routes, nutrition, and personal records using your phone's sensors and, optionally, HealthKit data.
- Enter free challenges against yourself and other users.
- Once cash rewards go live, enter paid skill contests where entrants who successfully complete the defined physical task by the deadline split a prize pool funded by the forfeited entry fees of entrants who did not complete the task.
- Use AI-assisted tools such as the food scanner and the coach (see Section 8).
Mr Syn is a fitness and entertainment product. It is not a substitute for medical, nutritional, or financial advice. Consult a licensed professional before starting any exercise, diet, or staking program.
5. Skill Contests and Staking
5.1 Skill-based framing
Every paid contest on Mr Syn is a skill contest. The outcome is determined by whether you complete a measurable physical task (distance, pace, frequency, duration, weight change, check-in compliance, or similar) within your own control. There is no element of chance. Specific rules, scoring, and tie-breakers are published in each contest's detail screen and in our Skill Contest Rules.
5.2 Entry and pool mechanics
- Entering a paid contest charges your payment method or account balance the declared entry fee. Funds are held in escrow with our payment partner.
- Entries lock at the contest start time. Before lock, you may cancel for a full refund. After lock, entries are non-refundable.
- Entrants who meet the contest's completion criteria by the deadline are Winners. All other entrants forfeit their entry fee.
- The forfeited-pool is redistributed pro rata to Winners after the platform fee in Section 6 is deducted. If every entrant wins, no forfeited-pool exists and each entrant receives their own entry fee back with no platform fee.
5.3 Caps
Minimum entry fee: $5 USD. Maximum entry fee per contest: $500 USD (subject to change on the contest detail screen). Maximum participants per contest: 100 unless otherwise stated. We may impose tighter limits for compliance or risk reasons.
5.4 Verification
We verify completion using GPS, device sensors, timestamped photos, AI review, and manual review where needed. If we cannot verify your submission, it does not count. You agree to provide reasonable cooperation if we open a review of your submission.
5.5 No-purchase-necessary AMOE
Where required by law, a free method of entry (AMOE) is available for each paid contest. AMOE details, including postal and in-app request instructions, are published in the contest detail screen and in the Skill Contest Rules.
6. Fees, Payouts, and Taxes
6.1 Platform fee
Mr Syn retains a service fee of 15% of the forfeited portion of each contest pool. We do not take a fee on Winners' returned entry fees. If every entrant wins, the platform collects no fee.
6.2 Payouts
All payments on Mr Syn — challenge entry fees, subscriptions, and prize payouts — are processed through Stripe. Specifically, Stripe Connect Express is used for payouts and Stripe Checkout / the Stripe SDK is used for entry fees and subscriptions. Mr Syn does not use Apple In-App Purchases (IAP) for any of these transactions. You must onboard a Connect account and pass identity verification before your first payout. US payouts land in your linked bank account via ACH within 1 to 3 business days of release. Canadian payouts land via EFT within 1 to 5 business days. Timing is controlled by the banks, not by us.
Challenge entry fees are paid into a real-world cash prize pool, and prize payouts are real-world cash transfers to winners' bank accounts. Under App Store Review Guideline 3.1.3(a) ("Goods and Services Outside of the App"), purchases of physical goods and real-world services may use payment methods other than Apple IAP.
6.3 Fraud and risk holds
We may freeze, delay, or reverse a payout if we suspect fraud, chargeback abuse, rule violation, sanctions exposure, or identity mismatch, and we may share information with Stripe, card networks, and law enforcement.
6.4 Subscriptions
Pro and Elite subscriptions renew automatically until cancelled. You can cancel any time from the app. Cancellation takes effect at the end of the current paid period. See our Refund Policy for more.
6.5 Taxes
You are responsible for determining and paying any tax owed on your winnings. Where required, we will issue US Form 1099 or Canadian T4A / T5, and may withhold amounts required by law. You agree to provide accurate tax information on request.
7. User Content
You keep ownership of the photos, videos, captions, profile details, and contest submissions that you post ("User Content"). You grant TNAADO a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, display, and distribute your User Content for the limited purpose of operating, securing, and promoting the Service. You represent that you own the rights needed to grant this license and that your User Content does not violate anyone else's rights.
We may remove User Content that violates the Acceptable Use Policy or these Terms.
8. AI Features
Mr Syn uses AI models (including models from Anthropic and xAI) for the food scanner, the coach, and submission review. AI output is provided for informational purposes only. It is not medical, nutritional, training, or legal advice. It can be incomplete, wrong, or biased. Do not rely on it for health decisions. Verify any calorie, macronutrient, or intensity estimate before acting on it.

9. Prohibited Conduct
You agree not to do any of the following. These are expanded in the Acceptable Use Policy:
- Spoof GPS, fake sensor data, or tamper with device signals.
- Use bots, scripts, emulators, rooted or jailbroken devices, or modify the Service.
- Submit fabricated, AI-generated, or other users' photos.
- Multi-account, collude, or share winnings off-platform.
- Use Mr Syn for money laundering, terrorism financing, or any illegal purpose.
- Harass, threaten, or dox other users or staff.
- Attempt to breach, probe, or overwhelm our systems.
10. Not Gambling
Mr Syn is a skill-based fitness competition. Outcomes are determined by the entrant's own performance against objective, pre-published criteria. The Service is not a casino, sportsbook, lottery, raffle, or game of chance. No part of Mr Syn involves betting on third-party events. By entering a contest you acknowledge this framing and you waive any claim that your entry constitutes gambling. You remain responsible for complying with the rules of your own jurisdiction.
11. Suspension and Termination
We may suspend or terminate your account, freeze your balance, or reverse a payout if we reasonably believe you violated these Terms, caused a chargeback, committed fraud, abused the Service, or if a regulator, bank, or court orders us to. If we terminate your account for cause, any pending entries are forfeited and any balance may be held pending investigation.
You may close your account at any time from the app or by emailing [email protected]. Closing does not release you from obligations incurred before closing.
12. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, TNAADO disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, availability, uninterrupted access, accuracy, and freedom from viruses. You assume full responsibility for the physical activities you perform. Stop immediately if you feel unwell.
13. Limitation of Liability
To the maximum extent permitted by law, TNAADO, its affiliates, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, lost goodwill, or personal injury arising from or relating to the Service. Our total cumulative liability to you for all claims will not exceed the greater of (a) the fees you paid us in the 12 months before the claim or (b) one hundred US dollars (USD $100). Some jurisdictions do not allow these limits; in those jurisdictions our liability is limited to the minimum allowed by law.
14. Indemnification
You will defend, indemnify, and hold harmless TNAADO and its affiliates from any claim, loss, damage, or expense (including reasonable attorney's fees) arising from your User Content, your use of the Service, your violation of these Terms, your violation of law, or your violation of anyone else's rights.
15. Arbitration and Class Action Waiver (US users)
Please read this section carefully. If you are a US resident, you and TNAADO agree that any dispute, claim, or controversy arising out of or relating to the Service or these Terms (a "Dispute") will be resolved exclusively by final and binding individual arbitration, and not in court, except as described below.
Arbitration will be administered by JAMS under its Streamlined Arbitration Rules in effect at the time the arbitration is commenced, seated in Ontario, Canada or, at your election, in the US state where you reside. The arbitrator will have exclusive authority to decide all issues, including arbitrability.
Class action waiver. You and TNAADO each waive any right to bring or participate in a class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims.
30-day opt-out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first accepting these Terms, with the subject line "Arbitration Opt-Out" and your full legal name, account email, and mailing address. Opting out will not affect any other part of these Terms.
Small-claims carve-out. Either party may bring an individual action in small-claims court for Disputes that qualify.
Equitable relief. Either party may seek injunctive relief in court to protect intellectual property or confidential information.
16. Governing Law
These Terms and any Dispute are governed by the laws of the Province of Ontario, Canada and the applicable federal laws of Canada, without regard to conflict-of-laws rules. For users outside the US, the courts of Ontario, Canada have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction. The UN Convention on Contracts for the International Sale of Goods does not apply.
17. Force Majeure
Neither party is liable for failure or delay caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, pandemic, labor action, outage of third-party services, network failure, regulatory action, or government order.
18. DMCA and Copyright
If you believe User Content on Mr Syn infringes your copyright, send a notice complying with 17 U.S.C. § 512(c)(3) to [email protected] including: (a) a signature of the copyright owner or authorized agent; (b) identification of the copyrighted work; (c) identification of the material and its location on Mr Syn; (d) your address, phone, and email; (e) a good-faith statement that the use is unauthorized; (f) a statement under penalty of perjury that your notice is accurate and that you are authorized to act. Counter-notices should follow 17 U.S.C. § 512(g). We may terminate repeat infringers.
19. Changes to These Terms
We may update these Terms from time to time. If a change is material we will post a notice in the app and on mrsyn.app and, for material financial changes, provide at least 30 days' notice before the change takes effect. Continued use of the Service after the effective date means you accept the updated Terms.
