Terms of Service

Welcome to Mr Syn. These Terms of Service ("Terms") govern your access to and use of the Mr Syn mobile application, website, and related services (collectively, the "Service") operated by Mr Syn Ltd ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Service Description

Mr Syn is a competitive fitness platform that enables users to:

Track physical activities including running, walking, cycling, swimming, and gym workouts using GPS and sensor data.
Create and participate in fitness challenges with other users.
Stake real money on challenge outcomes, with winners receiving payouts from a shared prize pool.
Track nutrition and meals using AI-powered food scanning technology.
View leaderboards, personal records, and performance analytics.

The Service involves real-money transactions. You acknowledge that stakes placed on challenges constitute voluntary wagers on your own athletic performance and are subject to the rules and fees described in these Terms.

2. Eligibility

2.1 Age Requirements

You must be at least 18 years of age to use any financial features of the Service, including staking money on challenges, receiving payouts, or subscribing to paid plans.
Users aged 13 to 17 may use free features of the Service (activity tracking, free challenges, nutrition logging) with verifiable parental or guardian consent.
Users under 13 are not permitted to use the Service in any capacity.

2.2 Jurisdiction

You are responsible for ensuring that your use of the Service, including participation in real-money challenges, complies with all applicable laws in your jurisdiction. The Service is not available in jurisdictions where real-money skill-based competitions are prohibited by law.

2.3 Account Verification

We may require identity verification before enabling financial features. This may include government-issued identification, proof of address, and other documentation required by applicable regulations.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain and promptly update your account information to keep it accurate.
Notify us immediately of any unauthorized use of your account.
Not share your account with any other person.
Not create more than one account per person. Multiple accounts are strictly prohibited and will result in permanent suspension of all associated accounts and forfeiture of any balances.

4. Challenge Rules and Stakes

4.1 Challenge Structure

Challenges are skill-based competitions where participants complete defined physical activities within specified parameters. Each challenge has rules set by the creator, including activity type, distance or duration requirements, time limits, and stake amounts.

4.2 Staking

Stakes are voluntary. Free challenges are always available.
When you stake money on a challenge, the amount is deducted from your account balance or charged to your payment method immediately.
Stakes are held in escrow by our payment processor until the challenge is resolved.
Minimum stake: $5.00 USD. Maximum stake: $10,000.00 USD per challenge.

4.3 How Payouts Work

When a staked challenge concludes, participants who successfully complete the challenge receive their original stake back in full. Stakes forfeited by participants who do not complete the challenge form a bonus pool. A portion of this bonus pool is retained by Mr Syn as a platform fee to cover operating costs, payment processing, verification infrastructure, and Service maintenance. The remainder of the bonus pool is distributed pro-rata among all participants who successfully completed the challenge. If all participants complete the challenge, no bonus pool is formed and all stakes are returned in full — Mr Syn retains no fee.

4.3a Not Gambling

Staked challenges on Mr Syn are skill-based fitness competitions, not games of chance. Outcomes are determined entirely by whether participants complete a defined physical activity — a result within each participant's control. Mr Syn is not a gambling operator, bookmaker, or wagering platform. No element of chance determines whether you receive your stake back; completion of the challenge does. By participating in staked challenges, you acknowledge and agree that you are entering a skill-based competition and that the Service does not constitute gambling under applicable law. You are solely responsible for determining whether participation is lawful in your jurisdiction.

4.4 Refunds on Stakes

Stakes are fully refundable if you withdraw from a challenge before the challenge start time.
Once a challenge has started, stakes are non-refundable except in cases of verified technical failure on our part.
If a challenge is cancelled by the creator before it begins, all stakes are refunded in full.
If a challenge is cancelled due to insufficient participants, all stakes are refunded in full.

4.5 Result Verification

Challenge results are verified through GPS tracking data, AI-powered photo checkpoints, and activity sensor data. Results are processed automatically. You agree to accept the outcome of automated verification unless you submit a formal dispute within 48 hours of challenge completion.

5. Payment Processing

All financial transactions are processed through Stripe, our third-party payment processor. By using the financial features of the Service, you agree to Stripe's terms of service and privacy policy. We do not store your full credit card numbers, bank account details, or other sensitive payment information on our servers. All payment data is handled directly by Stripe in compliance with PCI-DSS standards.

Withdrawals are processed within 3-5 business days to your linked bank account or payment method. Minimum withdrawal amount: $10.00 USD.

6. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

GPS spoofing: Using any software, hardware, or technique to falsify your GPS location data. This includes mock location apps, VPN-based location services, or modified device firmware.
Fake photo submissions: Submitting photos that are fabricated, previously taken, AI-generated, or taken by another person to satisfy verification checkpoints.
Collusion: Coordinating with other participants to manipulate challenge outcomes, including intentionally losing, splitting winnings outside the platform, or coordinating identical activities.
Multi-accounting: Creating or operating multiple accounts to gain unfair advantages in challenges or to circumvent bans or restrictions.
Automated activity: Using bots, scripts, or any automated means to record activities or interact with the Service.
Device manipulation: Attaching your device to vehicles, animals, or other people to simulate physical activity.
Harassment: Threatening, bullying, or harassing other users through any feature of the Service.
Money laundering: Using the Service to launder money or facilitate any illegal financial activity.

Violation of these rules will result in immediate account suspension, forfeiture of all account balances, and permanent ban from the Service. We reserve the right to report suspected criminal activity to law enforcement.

7. Intellectual Property

The Service, including its design, features, code, content, logos, and trademarks, is the intellectual property of Mr Syn Ltd and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

You retain ownership of content you create on the Service, including activity data and photos. By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and process your content solely for the purpose of operating and improving the Service.

8. Disclaimers and Limitation of Liability

8.1 Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

8.2 Physical Activity Disclaimer

Mr Syn is not a medical service. You should consult with a physician before beginning any exercise program. We are not responsible for any injuries, health issues, or death that may result from physical activities undertaken in connection with the Service. You participate in all challenges at your own risk.

8.3 AI-Powered Features — No Guarantee of Accuracy

The Service incorporates artificial intelligence features including, but not limited to, food scanning, nutritional analysis, AI fitness coaching, macro tracking recommendations, and activity verification assistance. These AI features are provided for informational and convenience purposes only. Mr Syn makes no representations or warranties regarding the accuracy, completeness, reliability, or fitness for a particular purpose of any AI-generated output. AI-generated nutritional data, coaching advice, and fitness recommendations are not a substitute for advice from a qualified medical professional, registered dietitian, or certified fitness trainer. You assume all risk associated with reliance on AI-generated content.

8.4 Science-Informed, Not Clinically Validated

Mr Syn's fitness challenge framework, performance metrics, coaching insights, and nutritional guidance are informed by publicly available scientific research and general wellness principles. However, the specific combination of technologies, methodologies, challenge structures, and AI-assisted metrics used in the Service has not undergone independent clinical trials, peer-reviewed validation, or regulatory review. No clinical evidence exists confirming the efficacy of this specific program. Individual results will vary. Mr Syn does not guarantee any specific fitness outcome, weight loss result, performance improvement, or health benefit from use of the Service. Testimonials and statistics presented on our platform reflect individual experiences and are not representative of typical results.

8.5 Financial Risk

You acknowledge that participating in staked challenges involves financial risk. If you do not complete a challenge, you forfeit your stake. Mr Syn is not a gambling service — staked challenges are skill-based competitions determined entirely by whether you complete a defined physical activity. Outcomes are within your control but not guaranteed by Mr Syn. You should only stake money you can afford to forfeit. Mr Syn accepts no responsibility for financial losses arising from participation in staked challenges.

8.6 Limitation of Liability

To the maximum extent permitted by law, Mr Syn Ltd and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of profits, data, or goodwill. Our total liability for any claims arising from the Service shall not exceed the amount you have paid to us in the 12 months preceding the claim.

9. Dispute Resolution

9.1 Challenge Disputes

If you believe a challenge result is incorrect, you may submit a dispute within 48 hours of challenge completion through the app or by emailing support@mrsyn.app. Disputes will be reviewed by our team and resolved within 7 business days. Our decision on challenge disputes is final.

9.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved through our internal dispute process shall be resolved by binding arbitration administered by a recognized arbitration body in accordance with its rules. Arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding. You agree to waive your right to a jury trial and to participate in class action lawsuits.

9.3 Exceptions

Nothing in this section prevents either party from seeking injunctive or other equitable relief in court for matters related to intellectual property, data security, or unauthorized access.

10. Termination

We may suspend or terminate your account at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to: violation of these Terms, fraudulent activity, failure to verify your identity when requested, or extended inactivity.

Upon termination, your right to use the Service ceases immediately. If your account is terminated for reasons other than prohibited conduct, any remaining balance in your account will be returned to you within 30 business days, minus any pending obligations. If your account is terminated for prohibited conduct, all balances are forfeited.

You may delete your account at any time through the app settings. Upon deletion, your personal data will be handled in accordance with our Privacy Policy.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. For material changes affecting your financial rights, we will provide at least 30 days' advance notice via email or in-app notification. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Mr Syn Ltd is incorporated, without regard to its conflict of law provisions.
